A leading investment bank is currently seeking to hire a candidate to be based in Mumbai to be responsible for the company secretarial function in India. This role has evolved due to international growth and expansion in the bank's activities in Asia.
Reporting to the bank's Company Secretarial Division in Hong Kong, the successful candidate must have strong administration skills and able to take a proactive approach to their tasks. The role demands a close working relationship with the Group’s Legal and Compliance staff, Risk Management, Taxation and Finance Groups within the region. Strong spoken and written English skills are essential.
Specifically the role will include:
? co-ordinating with Company Secretarial Division in Hong Kong on all Company Secretarial matters including implementation and monitoring of the Group’s Company Secretarial procedures in India; ? attending to lodgement of corporate documents as required by the regulators, other external parties or government authorities from time to time; ? adherence to Group-wide policies; ? preparation for Board and shareholder meetings (including preparation of agendas, minute taking); ? maintenance (with external Company Secretarial service providers as appropriate) of company registers; ? co-ordination and provision of advice on company law requirements and Company Secretarial procedures in India including the monitoring of company law developments; ? monitoring the level of service and quality of external Company Secretarial service providers including arranging approval of Company Secretarial invoices. ? liaising with the Bank’s Legal and Compliance staff on regulatory impacts of changes in company's structures, such as directorships and share capital, including seeking approvals and making necessary notifications; ? liaising with the Group’s Finance Division, Business Services Division, Human Resources, Tax Division and the business unit Legal and Compliance personnel as necessary; ? Ad hoc duties as required
